1.  DEFINITIONS

In these Terms and Conditions, the following terms have the meanings set out below:

  • BSA: Business School of Accountancy, a Licensed ACCA CBE Centre, located at Connexion, Koh Pich, Phnom Penh, Cambodia.

  • Student / You: Any individual who has submitted an enrolment application to BSA, is currently enrolled in a BSA programme, or has registered to sit a CBE examination at a BSA facility.

  • Corporate Partner: Any employer, organisation, or institution that has entered into a separate agreement with BSA for the provision of educational or examination services.

  • Programme: Any tuition course, revision class, preparatory workshop, or structured study offering delivered by BSA, including ACCA Applied Skills and Strategic Professional tuition and FIA Foundation-level programmes.

  • CBE: Computer-Based Examination, as administered by ACCA Global at BSA's Licensed CBE Centre facility.

  • ACCA: The Association of Chartered Certified Accountants, a global professional accounting body registered in the United Kingdom, for which BSA acts as a Licensed CBE Centre.

  • Fees: All tuition fees, examination fees, registration fees, administrative charges, and any other amounts payable by the Student or Corporate Partner to BSA for services rendered.

  • Enrolment Date: The date on which BSA confirms in writing that a Student's enrolment application has been accepted and payment received.

  • Agreement: These Terms and Conditions, together with any enrolment confirmation, fee schedule, or supplementary agreement issued by BSA in writing.

2.  ENROLMENT AND ADMISSION

2.1  Application and Acceptance

Submission of an enrolment application to BSA does not constitute acceptance into a programme. Enrolment is confirmed only upon BSA's written acceptance and receipt of the required fees. BSA reserves the right to decline any application without being required to give reasons.

2.2  Entry Requirements

Students are responsible for ensuring they meet all entry requirements for their chosen programme and any applicable ACCA registration requirements before submitting an application. BSA does not guarantee that completion of a BSA programme will result in ACCA qualification or membership. Qualification outcomes are determined solely by ACCA Global.

2.3  ACCA Student Registration

Students intending to sit ACCA examinations must register directly with ACCA Global as a student member before booking a CBE at BSA. BSA is not responsible for managing your ACCA registration, MyACCA account, or any fees payable to ACCA. BSA staff may assist you in understanding the registration process, but responsibility for timely registration lies solely with you.

2.4  Accuracy of Information

Students must ensure that all information provided in their application is accurate, complete, and up to date. Providing false, misleading, or incomplete information may result in the immediate withdrawal of enrolment without refund and may be reported to ACCA if relevant to examination eligibility.

2.5  Minimum Enrolment Numbers

BSA reserves the right to postpone, merge, or cancel a programme intake if minimum enrolment numbers are not met. In such circumstances, BSA will offer enrolled students an alternative intake date or a full refund of fees paid.

3.  FEES AND PAYMENT

3.1  Fee Schedule

All applicable fees are set out in BSA's current fee proposal, available on request to BSA staffs. BSA reserves the right to revise its fee schedule at any time. Fee changes will not apply retroactively to confirmed enrolments.

3.2  Payment Terms

Fees are due and payable in full at the time of enrolment unless BSA has agreed in writing to an alternative payment arrangement. BSA will not reserve a place on any programme or examination until payment has been received and confirmed. Confirmation of payment will be issued by BSA in writing.

3.3  Payment Methods

Accepted payment methods will be communicated by BSA at the time of enrolment. BSA does not accept cash payments above amounts permitted under applicable Cambodian regulations. Where payment is made by bank transfer, the Student is responsible for any transfer charges or currency conversion fees.

3.4  ACCA Examination Fees

Fees payable to ACCA Global for examination registration, exemption claims, and student membership are separate from BSA tuition fees and are the sole responsibility of the Student. BSA is not liable for any ACCA-imposed fees, penalties, or charges.

4.  REFUNDS, CANCELLATIONS, AND WITHDRAWAL

4.1 Scope and Application

This Section governs refunds, cancellations, and withdrawals in respect of fees paid by Students to BSA for tuition programmes, computer-based examination (CBE) facilitation, and related services. It does not govern fees paid by Students directly to the Association of Chartered Certified Accountants (ACCA), including ACCA registration, annual subscription, exam entry, exemption, or re-marking fees, which are subject to ACCA's own terms published at www.accaglobal.com.

This Section must be read alongside the Enrolment Agreement signed by the Student at registration.

4.2 Non-Refundable Fees

The following fees are non-refundable in all circumstances, save where BSA cancels a programme under clause 4.5 or where extenuating circumstances are accepted under clause 4.7:

  • Registration and administrative processing fees.

  • Learning materials, whether printed or digital, once issued, accessed, or downloaded.

  • Fees paid by the Student directly to ACCA.

4.3 Student-Initiated Withdrawal: Tuition Programmes

If a Student wishes to withdraw from a BSA tuition programme, the following refund schedule applies based on the date of written withdrawal notice received by BSA:

Withdrawal Timing | Refund Entitlement

  • More than 30 calendar days before programme start. | Full refund of tuition fees paid, less a USD 25 administrative processing fee.

  • 15 to 30 calendar days before programme start. | 50% refund of tuition fees paid.

  • 14 calendar days or fewer before programme start. | No refund. Fees are fully forfeited.

  • After programme commencement. | No refund. A credit note may be considered at BSA's sole discretion.

  • Withdrawal due to a documented medical emergency. | Case-by-case assessment. Supporting documentation required within 14 days of withdrawal.

Important

All withdrawal requests must be submitted in writing to info@bsa.com.kh. The date of withdrawal is the date BSA receives and acknowledges your written request, not the date you stopped attending. Verbal withdrawal requests will not be accepted.

4.4 CBE Examination Cancellation

CBE examination fees paid to BSA for facilitation of ACCA computer-based examinations are non-refundable once an examination slot has been confirmed. Rescheduling of CBE examinations is subject to ACCA's own rescheduling policies and any applicable rescheduling fees. Students must comply with ACCA's cancellation and rescheduling deadlines, which are published at www.accaglobal.com.

4.5 BSA-Initiated Cancellation

If BSA cancels a programme or examination session for reasons within BSA's control, enrolled Students will be entitled to a full refund of fees paid to BSA for that programme or session, or, at the Student's election, transfer of the full amount paid to the next available equivalent programme at no additional charge. BSA will not be liable for any consequential losses, including travel, accommodation, or examination entry fees paid to ACCA.

4.6 Force Majeure

BSA will not be liable for cancellation, postponement, or disruption of any programme or service caused by circumstances beyond its reasonable control, including natural disasters, pandemic or epidemic conditions, government orders, civil unrest, or infrastructure failure. In such circumstances, BSA will endeavour to offer an alternative delivery date or format. Refunds in force majeure situations will be considered on a case-by-case basis at BSA's discretion.

4.7 Extenuating Circumstances

BSA may, at its sole discretion, vary the application of clause 4.3 where a Student demonstrates, with verifiable supporting documentation, serious illness or medical emergency, bereavement of an immediate family member, employer-mandated relocation outside Phnom Penh, or other circumstances genuinely beyond the Student's control. Requests must be submitted in writing to info@bsa.com.kh within 14 calendar days of the event giving rise to the request and must enclose all relevant documentation. BSA's decision under this clause is final.

4.8 Refund Process and Payment

All refund requests must be submitted in writing to info@bsa.com.kh, identifying the Student, the programme or paper, the date of enrolment, the amount paid, and the basis of the request. BSA will assess and respond within 10 working days of receipt. Approved refunds will be paid within 20 working days of approval, by the same method and to the same account from which the original payment was received. BSA does not process cash refunds. All refunds are issued in the currency of the original payment, and any bank or wire transfer charges arising from the refund are borne by the Student.

5.  CBE EXAMINATION ADMINISTRATION

5.1  BSA's Role as a Licensed CBE Centre

BSA facilitates ACCA computer-based examinations as a Licensed CBE Centre. BSA's role is to provide the examination facility, technical infrastructure, and invigilation environment. All examination content, marking, results, and qualification decisions are the exclusive responsibility of ACCA Global. BSA has no authority to influence, override, or appeal ACCA examination results on a Student's behalf.

5.2  Student Obligations for CBE Examinations

Students sitting CBE examinations at BSA must comply with all of the following:

  • Arrive at the BSA examination facility no later than 30 minutes before the scheduled examination start time

  • Present a valid, original government-issued photo identification document (national ID card or passport). Electronic copies will not be accepted

  • Follow all invigilation instructions issued by BSA examination staff

  • Comply with ACCA's Examination Regulations and Guidelines, which are published at www.accaglobal.com and form part of these Terms and Conditions by reference

  • Refrain from bringing unauthorised materials, electronic devices, or communication equipment into the examination room

5.3  Examination Misconduct

Any Student found to have engaged in examination misconduct, including cheating, use of unauthorised materials, impersonation, or interference with examination systems, will be removed from the examination and reported to ACCA Global. ACCA's disciplinary procedures, which may include disqualification and suspension, will apply. BSA will cooperate fully with any ACCA investigation.

5.4  Technical Failures

BSA will make all reasonable efforts to ensure the availability and reliability of its CBE facility. In the event of a technical failure beyond BSA's control, BSA will notify ACCA and follow ACCA's protocols for affected examination sessions. BSA will not be liable for any loss suffered by a Student as a result of a technical failure not attributable to BSA's negligence.

6.  STUDENT CONDUCT AND ACADEMIC INTEGRITY

6.1  Expected Standards of Conduct

All Students are expected to conduct themselves with professionalism, respect, and integrity at all times on BSA premises and during any BSA-facilitated activity, whether in person or online. This includes respectful engagement with BSA staff, instructors, fellow students, and examination invigilators.

6.2  Academic Integrity

BSA takes academic integrity seriously. Students must not engage in any form of plagiarism, collusion, contract cheating, or misrepresentation of work in connection with any BSA assessment, practice paper, or ACCA examination. ACCA's own academic integrity standards, set out in the ACCA Rulebook, apply to all ACCA-registered students and form part of these Terms and Conditions by reference.

6.3  Disciplinary Action

BSA reserves the right to issue warnings, suspend, or permanently withdraw a Student from any programme or examination facility for breaches of conduct standards, academic integrity, or these Terms and Conditions. In cases involving ACCA examinations or the ACCA Qualification, BSA is obligated to report relevant breaches to ACCA Global.

Withdrawal resulting from disciplinary action is not eligible for a refund.

7.  PROGRAMME DELIVERY AND CHANGES

7.1  Programme Content and Delivery

BSA will deliver all programmes with reasonable care and in accordance with the syllabus and delivery format communicated at the time of enrolment. BSA reserves the right to make reasonable adjustments to programme content, delivery format, timetable, instructors, or venue where necessary. BSA will provide reasonable advance notice of material changes.

7.2  Instructor Changes

BSA may substitute instructors or lecturers where necessary without prior notice and without any obligation to provide a refund. BSA will ensure that substitute instructors are suitably qualified.

7.3  Online and Hybrid Delivery

Where BSA offers online or hybrid delivery of any programme or session, Students are responsible for ensuring they have access to a compatible device, stable internet connection, and any required software. BSA is not responsible for technical issues on the Student's side that result in missed or disrupted sessions.

7.4  Study Materials

Study materials provided by BSA are for the sole use of the enrolled Student. Materials are subject to intellectual property protections as set out in Section 9 of these Terms and Conditions. BSA's materials are supplementary to ACCA-published resources and do not replace official ACCA study texts or examinable content.

8.  ATTENDANCE

Students are expected to maintain regular attendance at all scheduled programme sessions. BSA recommends a minimum attendance rate of 80% for tuition programmes to support adequate examination preparation. BSA does not guarantee examination success regardless of attendance.

Absence from sessions does not entitle a Student to a fee reduction, makeup session, or refund. Where BSA is able to provide recordings or notes for missed sessions, this is offered at BSA's discretion and is not a guaranteed service.

9.  INTELLECTUAL PROPERTY

All materials produced or distributed by BSA, including but not limited to lecture slides, notes, practice questions, mock papers, handouts, and digital resources, are the intellectual property of BSA or its licensed content providers. All rights are reserved.

Students may use BSA materials solely for their personal study in connection with their enrolled programme. The following are strictly prohibited without BSA's prior written consent:

  • Copying, reproducing, distributing, or publishing BSA materials in any format

  • Sharing BSA materials with individuals not enrolled in the relevant BSA programme

  • Using BSA materials for commercial purposes

  • Uploading BSA materials to any online platform, study group, or third-party service

ACCA examination papers, syllabuses, study texts, and official ACCA materials are the intellectual property of ACCA Global. Students must observe ACCA's own intellectual property terms, available at www.accaglobal.com.

10.  WEBSITE AND DIGITAL SERVICES

BSA's website at www.bsa.com.kh is provided for informational purposes and to facilitate student services. BSA does not warrant that the website will be available at all times, free from errors, or free from viruses or harmful components. BSA reserves the right to modify, suspend, or discontinue any part of its website without notice.

Links on the BSA website to third-party websites, including ACCA Global, ACAR, and other partner organisations, are provided for convenience only. BSA is not responsible for the content, accuracy, or privacy practices of any third-party website.

11.  CORPORATE AND EMPLOYER PARTNERS

Where a Corporate Partner enrols students on their behalf, the following additional terms apply:

  • The Corporate Partner accepts these Terms and Conditions on behalf of each student they enrol and is responsible for communicating these Terms to those students

  • The Corporate Partner is liable for all fees associated with enrolled students unless an individual student payment arrangement has been agreed in writing with BSA

  • If a Corporate Partner fails to make payment within the agreed terms, BSA reserves the right to suspend examination access or programme delivery without liability

  • Sponsorship, corporate rate, or bulk enrolment arrangements are subject to a separate written agreement between BSA and the Corporate Partner and may include additional or modified terms

12.  DATA PROTECTION AND PRIVACY

BSA collects and processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms and Conditions by reference and is available at www.bsa.com.kh/privacy-policy.

By accepting these Terms and Conditions, you acknowledge that BSA will share relevant personal data with ACCA Global for the purposes of examination registration and administration, as required under BSA's Licensed CBE Centre agreement with ACCA. You further acknowledge that ACCA Global's own Privacy Policy governs their handling of your data.

BSA will not share your data with any third party for commercial marketing purposes without your prior consent.

13.  LIMITATION OF LIABILITY

To the fullest extent permitted by applicable Cambodian law, BSA's total liability to a Student or Corporate Partner in connection with any claim arising under or in relation to these Terms and Conditions is limited to the total fees paid by that Student or Corporate Partner to BSA in the 12 months preceding the event giving rise to the claim.

BSA is not liable for:

  • Loss of income, profit, opportunity, or career advancement arising from examination failure, programme withdrawal, or programme cancellation

  • Any loss or damage arising from a Student's failure to register with ACCA, comply with ACCA's examination requirements, or meet ACCA's qualification requirements

  • Any action, decision, or determination made by ACCA Global, including examination results, disciplinary outcomes, or membership decisions

  • Indirect, consequential, or special losses of any kind

Nothing in these Terms and Conditions excludes BSA's liability for death or personal injury caused by BSA's negligence, or for fraud or fraudulent misrepresentation.

14.  COMPLAINTS PROCEDURE

BSA is committed to handling all complaints promptly, fairly, and transparently. If you have a complaint relating to BSA's services, programmes, staff, or facilities, please follow the process below:

Step 1: Informal Resolution

In the first instance, raise your concern directly with the relevant BSA staff member or programme coordinator. Many issues can be resolved quickly at this stage.

Step 2: Formal Written Complaint

If your concern is not resolved informally, submit a formal written complaint to info@bsa.com.kh. Your complaint should include your full name, ACCA student number (if applicable), a clear description of the issue, the date(s) it occurred, and your desired resolution.

Step 3: Management Review

BSA management will acknowledge your complaint within 5 business days and provide a substantive written response within 15 business days. Complex cases may require additional time; BSA will notify you if this applies.

Step 4: ACCA Complaints Procedure

If your complaint relates specifically to an ACCA examination, examination result, or ACCA's own conduct, you must direct your complaint to ACCA Global directly. BSA cannot intervene in ACCA's complaints or disciplinary processes. ACCA's complaints procedure is available at www.accaglobal.com.

15.  CHANGES TO THESE TERMS AND CONDITIONS

BSA reserves the right to amend these Terms and Conditions at any time. Updated Terms will be published on the BSA website with a revised effective date. Where changes are material, BSA will notify enrolled students by email. Continued enrolment in a BSA programme or use of BSA's services following notification of changes constitutes acceptance of the revised Terms and Conditions.

For any enrolment already in progress at the time of a material change, the version of the Terms and Conditions in force at the time of enrolment will continue to apply for the duration of that intake, unless the Student expressly agrees to the revised terms.

16.  GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any dispute arising out of or in connection with these Terms and Conditions that cannot be resolved through BSA's complaints procedure will be referred to the courts of Cambodia, subject to any mandatory arbitration or mediation requirements under applicable Cambodian law.

Where a Corporate Partner agreement includes a specific dispute resolution clause, that clause will take precedence over this section.

17.  GENERAL PROVISIONS

17.1  Entire Agreement

These Terms and Conditions, together with BSA's Privacy Policy and any written enrolment confirmation or supplementary agreement, constitute the entire agreement between BSA and the Student or Corporate Partner and supersede all prior representations, discussions, or arrangements.

17.2  Severability

If any provision of these Terms and Conditions is found to be unlawful, invalid, or unenforceable, that provision will be severed without affecting the validity or enforceability of the remaining provisions.

17.3  Waiver

BSA's failure to enforce any provision of these Terms and Conditions on any occasion does not constitute a waiver of BSA's right to enforce that provision in the future.

17.4  Language

These Terms and Conditions are written in English. In the event of any inconsistency between an English version and any translation, the English version prevails.
